General Terms & Conditions

These terms and conditions (“Terms”) are issued by NGAHUIA GROUP LIMITED (Company Number 6459133), T7 RETAIL LIMITED (Company Number 9085712) and all of their related entities including Number One Shoes, Hannahs, Hush Puppies and Torpedo7 (together the “Ngahuia Group”).

In these Terms, we refer to the Ngahuia Group as “we”, “us”, “our”, or “Group” and we refer to each entity (and each associated brand) within the Ngahuia Group as a “Group Entity”.

These Terms comprise of:

Our websites, platforms, mobile sites, apps, social media pages (“Websites and Platforms”), stores, store services (including Wi-Fi), database, promotions or membership programmes (“Stores and Services”), are governed by these Terms.

By accessing, using, or visiting any of our Websites and Platforms or Stores and Services, you confirm that you have read and accept these Terms and our Privacy Policy.

We may change these Terms at any time, and changes will be posted on our Websites and Platforms. We will notify you where there are any material changes to these Terms. Each time you use our Websites and Platforms, you will be deemed to have accepted and agreed to the most recent version of these Terms then displayed.

Pricing

Unless stated otherwise, all prices displayed on our Websites and Platforms are in New Zealand dollars (NZ$) and include GST (15% sales tax), or Australian dollars (AU$) and include GST (10% sales tax) where applicable.

Please note that prices may be altered at any time for any reason. Delivery charges may be listed separately. Online and in store pricing may differ.

Payment Methods

Please refer to the relevant Group Entity’s Specific Terms for further information on available payment methods.

Apportioned Discounts

Multi buy discounts are apportioned across qualifying items on your order. While the breakdown in your purchase detail may change to reflect this, your total savings will not change. Multi buy discounts include offers like ‘’2nd pair half price”.

Accessing our Websites and Platforms and associated services

Your right to use our Websites and Platforms is personal to you. You may not authorize others to use our Websites and Platforms and you are solely responsible for your own use of our Websites and Platforms.

You must keep your account information secure and promptly notify us of any unauthorized use.

You may not download, modify, transmit, or otherwise use any material from our Websites and Platforms for public or commercial purposes. The content, information and advice on our Websites and Platforms is free of charge (unless otherwise stipulated). However, you are responsible for your own network and connection charges.

Other than connecting to our servers by HTTP requests using our Websites and Platforms, you may not attempt to gain access to our servers by any means, including, without limitation, using administrator passwords or masquerading as an administrator while using our Websites and Platforms or otherwise.

You agree not to disrupt, modify or interfere with our Websites and Platforms or its associated software, hardware and servers in any way and you agree not to impede or interfere with others’ use of our Websites and Platforms. You further agree not to alter or tamper with any information or materials on, or associated with, our Websites and Platforms.

We do not warrant that our Websites and Platforms will be available at all times and without disruption. We may make changes to the content on our Websites and Platforms at any time without notice.

Security

Ensuring your safety and security during online shopping is paramount to us. Payments made via our Websites and Platforms are processed using SSL (Secure Socket Layer) protocol, encrypting sensitive information to safeguard your privacy. To further protect your details from unauthorized access, we recommend logging out after each site usage, especially when using a public or shared computer. Certain transactions and interactions (e.g., Customer Care) may require proof of identification for security purposes.

Our Websites and Platforms have links to third party websites. These sites have not been prepared by us and are not under our control. Any third party links are only provided for convenience and we are not responsible for the content or availability of any of these links.

Registering

You can sign up to any or all of our brands by registering at the bottom of our website or during the checkout process. By registering, you agree to receive regular emails and/or SMS containing deals, promotions and unique ‘member only’ offers. Your details, such as address and order history, will be saved for future ease. When shopping or registering online with Number One Shoes, Hannahs or Hush Puppies, all of your details are secure and are only used for the purpose of fulfilling the transaction.

If you would like to change your preferences at any time or you no longer wish to receive communications from us, simply click “Unsubscribe” in the footer of our email or call our Customer Service Team 0800 426 624 (Monday to Friday, 9am to 5pm).

We are committed to full compliance with the Unsolicited Electronic Messages Act 2007.

Placing Orders

Every effort has been made to portray the colours of our products that appear on our Websites and Platforms as accurately as possible. However, because the actual colours you see depend on the monitor you are using, we cannot guarantee that your monitor’s display of any colour will be completely accurate.

When you place an order, you are making an offer to buy goods or services. All products and services contained on our Websites and Platforms are subject to availability. We may from time to time add or remove products and services.

To order goods, add them to the shopping cart and proceed through the checkout process on the relevant Website or Platform. You will be required to provide delivery and payment information, and other information about your order. Once the payment and the required information is successfully provided, you will be led to a confirmation page with full details of your order (which you can use as a receipt of your order).

We will send you an e-mail to confirm that we have received and accepted your order. Payment will be processed upon acceptance.

Some goods sold via our Websites and Platforms carry an age restriction. If a good you have selected is age restricted, you will be required to confirm that you are an appropriate age to purchase the good. Confirming this means you represent to us (and, if applicable, the 3P Seller (as defined below)) that you are of an eligible age and that you are not purchasing the good on behalf of a person who is not the appropriate age.

Certain goods available on our Websites and Platforms may have age restrictions. If you choose to purchase an age-restricted item, you will need to confirm that you meet the required age criteria. By confirming your eligibility, you represent to us (and, where relevant, the 3P Seller) that you are of the appropriate age and that you are not purchasing the item on behalf of someone who is not eligible.

Payments made through our Websites and Platforms can be paid to us by direct credit to our nominated bank account or may be collected, receipted, and processed on our behalf by a third-party payment processing entity. By making payment to our third-party payment processing entity, you acknowledge and agree to the third-party payment processing entity’s terms of use and privacy policy (which will be made available as part of such payment process). Any personal or financial information provided during the payment process will be subject to the privacy practices and security measures of the third-party payment processing entity.

Third Party Sellers

We may provide the ability for you to purchase goods from independent third party sellers (“Third Party Sellers” or “3P Sellers”), directly via our Websites and Platforms. We are committed to keeping your shopping experience as easy as possible, regardless of whether you purchase from us, or from a 3P Seller. However, at times, processes and your purchasing experience may be different. By placing an order to purchase goods from a 3P Seller, you agree that personal information that is necessary to fulfil your order will be disclosed to the 3P Seller, and that the terms of the 3P Seller’s Privacy Policy will also apply.

Please note that when you purchase goods from a 3P seller, you engage directly with the 3P seller, and we are not party to the transaction. We do not oversee any aspect of the transaction, including listing content, accuracy, quality, shipping, or delivery of goods. Delivery times are determined by 3P sellers and may vary based on the seller you choose.

You acknowledge that we bear no responsibility for transactions between you and 3P sellers or for the goods or services provided by 3P sellers, to the extent permitted by law. We do not provide any warranty or representation regarding the goods or services supplied by 3P sellers. This clause does not intend to limit or modify rights or obligations protected by law, including those under the Consumer Guarantees Act 1993.

Unless expressly stated otherwise, promotions, offers, and deals advertised by Ngahuia Group do not extend to goods sold by 3P sellers.

Orders delivered from outside New Zealand (e.g. when purchasing from a 3P Seller) may be subject to duties or other charges. You will be responsible for paying such duties or other charges and acknowledge that delivery of orders may be delayed where payment of such duties or other charges is required. However, you may reject the notice to pay tax and duties or other charges, in which case your order will be cancelled and you will be refunded in full.

Cancelling Orders

You can request to cancel your order (or part of your order) for any reason unless it has already been shipped. If your cancellation request is successfully processed before your order is shipped, you will receive a full refund of any payments you have made for that order. Please note that creating a cancellation request does not guarantee that your order will not be shipped.

If any item in your order is unavailable or for any other reason cannot be shipped, we will promptly refund you for the items we have not fulfilled. If all the items in your order are unavailable or for any other reason cannot be shipped, we will refund your payment in full. If only part of your order can be fulfilled, we will advise you which items are unavailable.

We also reserve the right to cancel orders that we believe to be placed for commercial purposes or are fraudulent (including where we believe there may have been credit card or a payment related fraud) or otherwise breach our Fair Use Policy. We may also cancel orders where there has been an error in the listing of the good (e.g. an incorrect price, image or description of a good) and/or a stock complication arises.

If we cancel your order, you will be refunded in full. Prior to any such cancellation, we may contact you and discuss appropriate changes to your order.

Refunds will be made to the same bank account or credit card used to pay for the order. Please allow 2 – 5 working days for your refund to appear on your credit card and up to 7 working days to appear in your bank account.

Gift Card Terms and Conditions

We may from time-to-time issue gift cards which can be used to purchase our goods and services (“Gift Card”).

Gift Cards can only be used within their validity periods. Some Gift Cards may not be suitable for online purchases.

Once a Gift Card is used, any unused value associated with that Gift Card will either remain on the Gift Card or, if the Gift Card is an electronic gift card, any unused value will be reissued with a new code and will remain valid until the expiry date stated on the reissued Gift Card.

If your order exceeds the amount of your Gift Card, you must pay for the balance with an accepted method of payment. Only one Gift Card can be redeemed per transaction.

Gift Cards are non-refundable, non-returnable and cannot be redeemed for cash.

Gift Cards cannot be used to purchase goods from 3P Sellers. Gift cards cannot be used as payment on finance balances (if any).

Gift Cards will not be replaced if lost, stolen, or destroyed.

Each electronic Gift Card is identified by an individual code that must not be changed or copied by you.

You are not allowed to transfer, re-assign, or re-sell Gift Cards.

Balance information on Gift Cards can be found at our Website or Platform and/or via the scanning booth that issued the Gift Card (if applicable).

Delivery Terms

Deliveries are only available to addresses within New Zealand.

The delivery times and costs vary for each item. Each item you purchase may have a lead time displayed on it indicating an estimated delivery date or time of your order. We will not be liable for any failure or delays in delivery.

After placing your order, you may be able to track its progress by logging into the relevant Website and Platform which will either display the progress of your order or provide a link to the relevant carrier’s site (where you can check your order’s progress). You will receive an email that confirms your order has been dispatched.

To make sure your delivery goes smoothly, it is important to provide an address where someone will be available during regular business hours. We will not be held responsible for any delays, if delivery is attempted within the specified timeframe and no one is available to receive the order, or if the wrong delivery method is chosen.

If you prefer, you can use our ‘Click and Collect’ option during checkout. This allows you to pick up your order from selected stores, making it convenient for you. And if you live in a rural area, just let us know during checkout to avoid any extra fees.

If you reside at a rural address, please make sure to specify this during checkout for proper delivery arrangements. If you fail to select rural delivery, you may be asked to pay an additional fee to cover rural delivery charges before your order is delivered. This additional fee is charged because rural delivery couriers are subcontracted to deliver your parcel from the nearest post office. These couriers then on-charge this fee.

Fair Use Policy

All goods and services offered for sale on our Websites and Platforms, including those on sale, promotion or with any discounts on retail prices, are offered under our Fair Use Policy.

We reserve the right to place quantity limits on goods. Discount limits per customer and maximum savings per customer will be monitored for any suspected abuse of the Fair Use Policy. Persistent abuse of our Fair Use Policy may result in suspension or termination of your customer accounts with us.

Intellectual Property

You acknowledge that we are the sole owner or licensee of all intellectual property rights in our Websites and Platforms, as well as all goods listed on them. This includes copyright ownership in all content and elements of our Websites and Platforms.

You are prohibited from copying, altering, or reproducing any goods, content, or logo found on our Websites and Platforms, or any part thereof, without our prior written consent.

By corresponding or communicating with us, you automatically grant us an irrevocable, perpetual, non-exclusive, royalty-free license to utilize, copy, display, and distribute the content of your correspondence or communication. This license extends to preparing derivative works of the content or incorporating it into other works for publication and promotional purposes. Examples may include publishing testimonials on our Websites and Platforms or developing your ideas and suggestions for improved goods and services.

Disclaimer

All materials and information contained in our Websites and Platforms or in-store has been prepared solely for the purpose of providing general information about our Group and the services and products they offer (“Information”). We reserve the right to change, delete or move any Information from our Websites and Platforms or stores at any time without notice. All warranties regarding the merchantability, fitness for purpose, freedom from computer viruses, accuracy, or availability of our Websites and Platforms or any other website or platform are excluded. By your use of our Websites and Platforms, you agree that you are using it solely at your own risk.

To the extent permitted by law, our Group shall not be liable to you or any third parties for any direct, indirect, special, consequential or punitive damages allegedly sustained arising out of your access to or inability to access our Websites and Platforms. This includes viruses alleged to have been obtained from our Websites and Platforms, your use of or reliance on our Websites and Platforms or any of the information or materials available on our Websites and Platforms, regardless of the type of claim or the nature of the cause of action.

You agree to indemnify us, including our directors, officers, employees, and agents, from any loss or liability incurred arising from any claim, demand, suit, action, or proceeding against our Group resulting from your breach of these Terms.

Miscellaneous

If any part of these Terms is found to be void, unlawful or unenforceable then that part will be deemed to be severable from the balance of these Terms and the severed part will not affect the validity and enforceability of any remaining provisions.

If we do not exercise or enforce any right or provision under these Terms, it will not constitute a waiver of such right or provision.

Any waiver of any provision under these Terms will only be effective if it is in writing and signed by us.

Headings are for convenience only and do not affect the interpretation of these Terms.

Our Websites and Platforms and any use of them is governed by, and is to be interpreted in accordance with, the laws of New Zealand and you and we submit to the exclusive jurisdiction of the courts of New Zealand.

Torpedo7 Specific Terms & Conditions

  1. Introduction

These Specific Terms pertain to T7 Retail Limited and apply when you are using torpedo7.co.nz, its apps, social media pages, or associated Stores and Services.

In case of any conflict between these Specific Terms and the General Terms, these Specific Terms shall prevail.

Specific Payment Terms and Conditions:

ZIP: We may from time to time, offer you the option of paying for your goods through ZIP. ZIP is an external service provider and is not part of the Ngahuia Group. There are no initial fees applicable to you for using the ZIP service. Some fees may apply if you default on a payment. Credit criteria and credit checks apply to the use of the ZIP service. Please note that you will not be able to use the ZIP method for excluded goods such as Gift Cards, iTunes cards, Gaming Cards and any other goods in this category.

In order to be eligible to use the ZIP service you must:

Torpedo7 Club

Torpedo7 Club $10 Welcome Voucher:

Valid for new Torpedo7 Club members only. The voucher is redeemable online or instore (when showing a copy of the welcome email and new Club member identification) for purchases over $100, excluding delivery. The voucher is limited to one per person, and one transaction only. Offer and redemption not valid at any offsite event.

Torpedo7 Workshop Services:

The following terms and conditions apply to both Bike Workshops and Snow Workshops at all applicable Torpedo7 stores.

Bike Services

Safety checks includes a basic check of headset, brake pads, chain wear, tyres and loose cables. It does not include any work/parts required outside of the standard safety check. It is available on all bikes purchased from Torpedo7 and other outlets. Bike safety checks are available Monday to Friday (not available during weekends) and must be booked in to the Torpedo7 Bike Workshop.

Bike Safety check availability and turnaround times will be dependent on individual store bike workshops. If you have any questions about availability and timelines, please contact your local store.
